FUSIÓN Y ABSORCIÓN DE LAS SOCIEDADES COMERCIALES EN LA REPÚBLICA DOMINICANA.

En la República Dominicana existe la Ley General de las Sociedades Comerciales y Empresas Individuales de Responsabilidad Limitada núm. 479-08, en conjunto con la Ley 31-11 que introdujo modificaciones, la cual consignada un segmento de las figuras de absorción y fusión de sociedades comerciales.

La Absorción es definida como la negociación entre dos empresas, una de las cuales desaparece. Una subsiste conservando el nombre, su estructura administrativa, aumentando su capital y acrecentándose, basándose en financiación externa o con recursos propios. Dependiendo de los términos de la negociación, puede pagarse en acciones o en dinero a los dueños de la empresa adquirida.

Mientras que la fusión es cuando una tercera empresa surge como fruto de la negociación y desaparición de las otras dos; esta nueva empresa asume los derechos y las obligaciones de las empresas que se disuelven (sin liquidarse) y las cuales formarán un patrimonio unitario. Así, al unir sus fuerzas podrán perseguir objetivos que por sí solas no podrán lograr con la misma eficacia. Se pueden pagar las empresas fusionadas con acciones de la nueva entidad.

En términos muy generales, la operación consiste en una sumatoria de activos y pasivos. En determinadas situaciones constituye la gran alternativa para resolver debilidades graves de una empresa aprovechando las fortalezas de la otra y viceversa. Por ejemplo, una compañía puede tener el “Know how” pero no el mercado, la otra, tener éste y no aquel. Si se llega a un acuerdo de fusión, la nueva tendrá ambas fortalezas y podrá operar con las ventajas así obtenidas.

Estructurar la negociación en sí, es muy difícil; se requiere de un planteamiento, su análisis y la toma de decisiones al nivel de juntas directivas, pues al desaparecer una empresa, probablemente pierdan su cargo un grupo de ejecutivos, mandos medios y quizás algún personal de base, quienes se puedan convertir en los grandes enemigos de la operación, aunque en el fondo, sea muy benéfica.

Prever esta reacción, por lo demás bastante entendible desde el punto de vista humano, es fundamental como punto inicial de las discusiones a fin de explorar alternativas de solución para así convertir a los inicialmente afectados (en caso de que lo merezcan) en aliados del proyecto y de esta forma conseguir su aporte, el cual puede representar un activo muy valioso en la negociación, así no esté cuantificado en el balance. MERGER AND ABSORPTION OF COMMERCIAL COMPANIES IN THE DOMINICAN REPUBLIC.

In the Dominican Republic there is the General Law of Commercial Societies and Individual Limited Liability Companies no. 479-08, in conjunction with Law 31-11 that introduced modifications, which consigned a segment of the figures of absorption and merger of commercial companies.

Absorption is defined as the negotiation between two companies, one of which disappears. One subsists preserving the name, its administrative structure, increasing its capital and growing, based on external financing or with its own resources. Depending on the terms of the negotiation, it can be paid in shares or in money to the owners of the acquired company.

While the merger is when a third company arises as a result of the negotiation and disappearance of the other two; this new company assumes the rights and obligations of the companies that are dissolved (without being liquidated) and which will form a unitary patrimony. Thus, by joining forces, they will be able to pursue goals that alone they will not be able to achieve as effectively. Merged companies can be paid with shares of the new entity.

In very general terms, the operation consists of a summation of assets and liabilities. In certain situations it constitutes the great alternative to solve serious weaknesses of a company taking advantage of the strengths of the other and vice versa. For example, one company may have the “Know how” but not the market, the other may have this and not that. If a merger agreement is reached, the new one will have both strengths and will be able to operate with the advantages thus obtained.

Structuring the negotiation itself is very difficult; it requires an approach, its analysis and decision-making at the level of boards of directors, because when a company disappears, a group of executives, middle managers and perhaps some base personnel will probably lose their position, who can become the great’s enemies of the operation, although deep down, it is very beneficial.

Anticipating this reaction, otherwise quite understandable from the human point of view, is essential as the starting point of the discussions in order to explore alternative solutions in order to turn those initially affected (if they deserve it) into allies of the project. And in this way get their contribution, which can represent a very valuable asset in the negotiation, even if it is not quantified in the balance sheet.
